(\u201cConsultant\u201d) and the undersigned client (\u201cClient\u201d).<\/p>\n\n<p><strong>1. Scope of Services<\/strong>\u00a0Consultant agrees to provide strategic consulting and advisory services related to business structure, management strategy, operations, and growth planning. Services are advisory only and do not constitute legal, tax, financial, or investment advice.<\/p>\n\n<p><strong>2. Fees &amp; Payment<\/strong>\u00a0All consulting services are paid in full prior to delivery. Fees are non-refundable and non-transferable. Payment confirms Client\u2019s acceptance of this Agreement.<\/p>\n\n<p><strong>3. No Guarantees<\/strong>\u00a0Consultant makes no guarantees regarding outcomes, results, revenue, or business performance. Client understands that results depend on factors beyond Consultant\u2019s control.<\/p>\n\n<p><strong>4. Client Responsibility<\/strong>\u00a0Client retains full responsibility for all decisions, actions, and outcomes resulting from the consultation. Consultant shall not be liable for any direct or indirect loss.<\/p>\n\n<p><strong>5. Confidentiality<\/strong>\u00a0Both parties agree to maintain confidentiality of proprietary information shared during the engagement.<\/p>\n\n<p><strong>6. Intellectual Property<\/strong>\u00a0All materials, frameworks, strategies, and processes shared remain the sole property of Consultant and may not be reproduced or distributed without written consent.<\/p>\n\n<p><strong>7. Limitation of Liability<\/strong>\u00a0Consultant\u2019s liability shall not exceed the amount paid for the consulting service.<\/p>\n\n<p><strong>8. Governing Law<\/strong>\u00a0This Agreement shall be governed by the laws of the state in which the Consultant operates.<\/p>\n\n<p><strong>By booking and paying for services, Client acknowledges and agrees to all terms above.<\/strong><\/p>\n<hr class=\"wp-block-separator has-alpha-channel-opacity\" \/>\n<h3 class=\"wp-block-heading\"><strong>General Brand Disclaimer<\/strong><\/h3>\n\n<p>All consulting, management, investment, and advisory services are provided on a paid, non-refundable basis and are governed by the same professional standards, policies, and terms.
